Terms and Conditions for Using HADER Smart Energy App

Effective Date: March 3, 2025

1. Acceptance of Terms

By downloading, installing, or using the HADER Smart Energy App (“the App”), you (“the User”) agree to be bound by these Terms and Conditions (“the Terms”). If you do not agree to these Terms, do not use the App.

2. Description of Services

The HADER Smart Energy App enables users to:

• Monitor and manage home energy consumption via smart meters, smart breakers, and smart plugs.

• Access real-time energy consumption statistics and receive recommendations to reduce energy use.

• Remotely control appliances via WiFi through the App.

• Track energy-saving progress and receive personalized tips.

3. Account Registration

To benefit from the App, users must create an account. You agree to:

• Provide accurate, current, and complete information during registration.

• Maintain the security of your password and not share it with anyone.

• Immediately notify HADER Smart Energy of any unauthorized use of your account.

4. User Obligations

By using the App, you agree to:

• Use the App only for lawful purposes.

• Not misuse the App or attempt unauthorized access to other user accounts, systems, or networks.

• Not transmit any viruses, malware, or harmful components through the App.

5. License of Use

HADER Smart Energy grants you a limited, non-exclusive, non-transferable, and revocable license to use the App for personal use in accordance with these Terms. You agree to:

• Not copy, modify, or distribute the App or any part of it.

• Not reverse-engineer, decompile, or attempt to extract the App’s source code.

6. Intellectual Property Rights

All content, trademarks, logos, and other intellectual property in the App are owned by HADER Smart Energy. No ownership rights are granted to users, and you agree not to use any of these assets without prior written consent from HADER Smart Energy.

7. Privacy

Your use of the App is subject to HADER Smart Energy’s Privacy Policy, which outlines how your personal data is collected, used, and protected. By using the App, you consent to the collection and use of your data as described in the Privacy Policy.

8. Third-Party Services

The App may integrate with or link to third-party services or devices. HADER Smart Energy is not responsible for the content, performance, or operation of such third-party services. Your interactions with these parties are governed by their respective terms and conditions.

9. Limitation of Liability

To the fullest extent permitted by law, HADER Smart Energy, its employees, and agents shall not be liable for any direct, indirect, incidental, or consequential damages arising from your use of the App, including but not limited to:

• Unauthorized access to your account or data.

• Data loss or service interruption.

• Issues related to third-party services or devices.

10. Warranties

The App is provided “as is” and “as available” without any warranties of any kind, either express or implied. HADER Smart Energy does not warrant that:

• The App will meet your specific requirements.

• The App will be error-free, secure, or operate without interruption.

• Results obtained from using the App will be accurate or reliable.

11. Termination

HADER Smart Energy reserves the right to suspend or terminate your account and access to the App at any time for any reason, including violation of these Terms. Upon termination, you must immediately cease using the App, and HADER Smart Energy reserves the right to delete your account and data.

12. Amendments to Terms

HADER Smart Energy may update these Terms from time to time. If changes are made, you will be notified through the App. Continued use of the App after such changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to its conflict of law principles.

14. Dispute Resolution

Any disputes arising from or related to these Terms or the App shall be resolved through mediation, and if unsuccessful, through binding arbitration in accordance with the laws of the Kingdom of Saudi Arabia.

HADER Recommendations & Guaranteed Savings Policy

15. Rationale for Margin of Error

Due to the inherent variability in energy consumption measurements and environmental conditions, HADER includes a margin of error in the Guaranteed Savings Percentage (GSP). This margin is necessary because:

• Automated Calculations: Our energy savings are calculated automatically using data from electric meters without manual verification by certified energy engineers, which introduces measurement variability.

• Environmental Factors: Differences in environmental conditions (such as temperature and humidity) during the two data collection periods can naturally affect energy usage.

• Data Integrity: Minor discrepancies or variations in data capture are expected even under controlled conditions.

By incorporating a standard margin of error of ±5% (or up to ±7% under specified environmental differences), we ensure that the GSP is both realistic and fair to all parties, while protecting HADER from liability for unavoidable variances.

16. Scope of Guarantee

• Applicability:

• This Policy applies exclusively to air conditioners (ACs) recommended by HADER through our automated energy management app. It does not extend to other appliances.

• All appliances follow their respective manufacturer’s return and exchange policies.

• Guaranteed Savings Percentage (GSP):

• Definition:

• The GSP is determined based on the percentage reduction in energy consumption (kWh savings) achieved by replacing an old AC with a new, energy-efficient model recommended by HADER.

• Rationale for Using kWh Instead of SAR:

• Objective Measurement:

• Measuring energy consumption in kilowatt-hours (kWh) provides an objective, quantifiable metric that reflects actual usage reduction.

• Tariff Variability:

• Monetary savings in SAR can vary significantly with changes in utility tariff structures (for example, if a facility enters a secondary rate tariff after replacing their old AC with our energy efficient AC). By basing the guarantee on kWh savings, our calculation remains independent of fluctuating energy prices.

• Standardization:

• kWh is a universally recognized unit of energy measurement. This standardization ensures a consistent, transparent, and reliable evaluation of energy efficiency improvements, reducing ambiguity and potential disputes.

• Application to Multiple Units:

• For accounts where multiple ACs are replaced, the GSP represents a cumulative energy savings target across all units.

• In cases where only a single AC is replaced, the GSP applies solely to that unit as an exceptional case.

17. Data Collection & Comparative Analysis

• Data Collection Periods:

• Baseline Data: Collected for 3 full days immediately after installing electric meters on the user’s old AC.

• Post-Replacement Data: Collected for 3 full days prior to the customer’s complaint after the new recommended AC has been installed.

• These periods form the basis for comparing energy usage data and determining the GSP.

• Environmental Comparison:

• We compare the following between the two periods:

• Average Maximum Temperature: The average maximum temperature recorded during each 3-days period.

• Average Maximum Humidity: The average maximum humidity percentage recorded during each 3-days period.

Environmental Comparison & Margin Adjustments:

• Condition 1:

If the difference in average maximum temperature is less than 1°C and the difference in average maximum humidity is less than 1% RH, the standard margin of error of ±5% applies and is added to the GSP.

• Condition 2:

If the difference in average maximum temperature falls between 1°C and 2°C or the difference in average maximum humidity falls between 1% and 2% RH, an additional margin of ±2% is added. This results in a total margin of ±7% being added to the GSP.

(Note: If one parameter is below 1 and the other falls within 1–2, the additional margin applies.)

• Condition 3:

If the differences exceed these ranges (i.e., if the temperature difference is greater than 2°C or the humidity difference is greater than 2% RH), the GSP may be recalculated or deemed inapplicable for that evaluation period until the outdoor condition averages approximate those recorded during the initial 3-day period after installing the electric meters.

18. Limitations & Exclusions

• User Data Integrity:

• The guarantee is void if there is any deliberate or accidental interference with the electric meter or the data collection process.

• The GSP does not cover savings deviations caused by factors outside HADER’s control, such as utility tariff changes, building usage variations, or maintenance issues unrelated to our recommendations.

• Automated Calculation Disclaimer:

• Energy savings are calculated automatically without manual oversight, hence the inherent margin of error.

19. Disclaimers & Limitation of Liability

• No Absolute Guarantee:

• The Guaranteed Savings Percentage is an estimate subject to the inherent variability in measurements and environmental conditions.

• HADER disclaims liability for any direct, indirect, or consequential damages arising from deviations within the defined error margins.

• Legal Disclaimer:

• By accepting this Policy, the user agrees that the GSP is subject to the terms, limitations, and environmental conditions outlined herein.

• The user further agrees not to institute legal action against HADER for any savings shortfall attributable to factors outside of HADER’s control or within the specified error margins.

• This Policy is governed by the laws of Saudi Arabia. Any disputes shall be resolved exclusively in the courts of Saudi Arabia.

20. Final Acknowledgment

• User Consent:

• By utilizing HADER’s recommendations and energy management system, you confirm that you have read, understood, and agree to be bound by the terms and conditions of this Guaranteed Savings Policy.
